yoDEV — Terms of Service

1. Introduction and Acceptance

Welcome to yoDEV (“Platform,” “we,” “us,” or “our”). These Terms of Service (“Terms”) govern your access to and use of the yoDEV platform, including all related websites, applications, and services:

  • yoDEV Community — Developer forum and community (community.yodev.dev)
  • yoDEV Workplace — Collaborative document workspace (workplace.yodev.dev)
  • yoDEV Developer Marketplace — Project marketplace connecting developers with employers (devmarket.yodev.dev)
  • yoDEV Homepage — Central authentication and account management (yodev.dev)

By accessing or using any yoDEV service, you agree to be bound by these Terms. If you do not agree, you must not use the Platform.

2. Eligibility

You must be at least 18 years old to use yoDEV. By creating an account, you represent and warrant that you are at least 18 years of age and have the legal capacity to enter into these Terms.

3. Account Registration

3.1 Single Identity

All yoDEV services share a single authentication system. When you create a yoDEV account, you gain access to all Platform services under one identity. Your account is managed through the yoDEV Community (Discourse) identity provider.

3.2 Account Responsibilities

  • You must provide accurate, current, and complete information during registration.
  • You must maintain the security of your account credentials.
  • You are responsible for all activity that occurs under your account.
  • You must promptly notify us of any unauthorized use of your account.
  • You may not transfer, sell, or share your account with any other person.

3.3 Account Termination

We may suspend or terminate your account if you violate these Terms, engage in fraudulent activity, or at our sole discretion with reasonable notice. You may delete your account at any time by contacting support@yodev.dev.

4. Subscription Plans

4.1 Free and Business Plans

yoDEV offers a Free plan and a paid Business plan. The features, limits, and pricing for each plan are described on our pricing page and may change from time to time.

4.2 Billing

Subscription fees are billed on a recurring basis (monthly or annually) through our payment processor. By subscribing to a paid plan, you authorize us to charge your payment method for the applicable fees.

4.3 Cancellation and Refunds

You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. We do not provide refunds for partial billing periods unless required by applicable law.

4.4 Plan Changes

Upgrades take effect immediately. Downgrades take effect at the end of the current billing period. Feature limits associated with your plan are enforced in real time.

5. yoDEV Community (Forum)

5.1 User Content

You retain ownership of content you post to the Community. By posting, you grant yoDEV a worldwide, non-exclusive, royalty-free license to use, display, reproduce, and distribute your content in connection with the Platform.

5.2 Content Standards

You agree not to post content that:

  • Is illegal, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable
  • Infringes any intellectual property rights
  • Contains malware, viruses, or harmful code
  • Constitutes spam, advertising, or unauthorized solicitation
  • Impersonates any person or entity
  • Violates any person’s privacy rights
  • Contains sexually explicit material
  • Promotes discrimination, hatred, or violence against any individual or group

5.3 Content Moderation

We reserve the right to remove any content that violates these Terms and to suspend or terminate accounts of repeat offenders.

6. yoDEV Workplace (Collaborative Workspace)

6.1 Workspace Data

Documents, databases, and other content you create in Workplace are your property. yoDEV does not claim ownership of your workspace content.

6.2 Collaboration

When you share a workspace or document with other users, you grant them access according to the permissions you set. You are responsible for managing access to your workspaces.

6.3 AI Features

Workplace includes AI-powered features (e.g., AI copilot, web search). Content you input into AI features may be processed by third-party AI providers. We do not use your content to train AI models.

6.4 Storage Limits

Storage and feature limits are determined by your subscription plan. Exceeding limits may result in restricted functionality until you upgrade or reduce usage.

7. yoDEV Developer Marketplace

7.1 Marketplace Roles

The Marketplace supports two roles:

  • Developers — Independent professionals offering services for project-based work
  • Employers — Individuals, startups, or companies seeking development talent

7.2 Independent Contractor Relationship

Developers using the Marketplace are independent contractors, not employees of yoDEV or the Employers who engage them. yoDEV does not control how Developers perform their work. Nothing in these Terms creates an employment, agency, partnership, or joint venture relationship between yoDEV and any user.

7.3 Projects and Applications

  • Employers may post projects with descriptions, budgets, timelines, and required skills.
  • Developers may apply to projects with proposals, rate estimates, and supporting documents.
  • All projects use fixed-price billing. Hourly billing is not supported.
  • Project budgets are denominated in US Dollars (USD).

7.4 Contracts

  • Contracts are initiated by Employers and require bilateral confirmation (“I Agree”) from both parties before becoming active.
  • Contract terms include the total project price and optional milestone breakdown.
  • Both parties may negotiate terms before confirmation.
  • Once both parties confirm, the contract is binding and a Workplace collaborative workspace is provisioned for the project.

7.5 Milestones and Payments

  • Projects may be divided into milestones, each with a defined deliverable and payment amount.
  • Milestone amounts must equal the total project price.
  • Payments are triggered upon milestone completion and acceptance, or upon full project completion and acceptance.
  • All payments are processed through Wise in USD.

7.6 Funding and Payouts

  • Employers fund projects via Wise transfer in advance of work being performed.
  • Project funds are held by the Platform until deliverables are accepted.
  • yoDEV facilitates the payment process but is not a party to the contract between Developer and Employer.

7.7 Fees

yoDEV charges service fees on transactions processed through the Marketplace. Current fee schedules are as follows:

Employers 8% of contract value

7.8 Receipt Generation

Developers may generate PDF receipts through the Platform for work completed under contracts. These receipts are for record-keeping purposes only. Issuing fiscally valid invoices — where required by the Developer’s jurisdiction — is the responsibility of the individual developer or firm providing the services.

7.9 Disputes Between Users

  • yoDEV encourages Developers and Employers to resolve disputes directly through the Platform’s messaging system.
  • yoDEV may, at its discretion, mediate disputes but is not obligated to do so.
  • yoDEV is not liable for any losses arising from disputes between users.

7.10 Intellectual Property in Work Product

Unless otherwise agreed in the contract terms, intellectual property rights in work product created by a Developer under a Marketplace contract transfer to the Employer upon full payment. Developers retain the right to use general knowledge, skills, and techniques gained during the engagement.

8. Messaging and Translation

8.1 Messaging

The Platform provides direct messaging between users. Messages are stored and accessible to both parties in a conversation.

8.2 Auto-Translation

Messages may be automatically translated between supported languages (English, Spanish, Portuguese) using DeepL, a third-party translation service. Message content is sent to DeepL for translation purposes. Auto-translation is available to Business plan subscribers only.

8.3 Message Retention

Messages are retained for the duration of your account. You may not rely on the Platform as the sole repository for important communications.

9. Prohibited Conduct

In addition to content standards in Section 5.2, you agree not to:

  • Use the Platform for any illegal purpose
  • Circumvent any access restrictions, rate limits, or security measures
  • Scrape, crawl, or use automated means to access the Platform without authorization
  • Interfere with or disrupt the Platform or servers
  • Attempt to gain unauthorized access to other users’ accounts
  • Use the Platform to send unsolicited communications
  • Misrepresent your identity, qualifications, or work history
  • Manipulate reviews, ratings, or feedback
  • Circumvent the Platform’s payment system for Marketplace transactions

10. Intellectual Property

10.1 Platform IP

The yoDEV name, logo, website design, software, and all related intellectual property are owned by yoDEV. You may not use our trademarks without prior written consent.

10.2 Open Source

The Workplace component of the Platform is a private fork of AFFiNE — MIT License, Copyright (c) 2022-present TOEVERYTHING PTE. LTD. and its affiliates. The fork repository is closed and not publicly distributed. Full license details and attributions are available upon request at team@yodev.dev.

11. Third-Party Services

The Platform integrates with third-party services including:

  • Discourse — Community forum and identity provider
  • Wise — Payment processing for project payouts
  • DeepL — Message translation
  • Cloudflare/R2 — File storage and content delivery

Your use of these third-party services is subject to their respective terms of service and privacy policies. yoDEV is not responsible for the availability, accuracy, or practices of third-party services.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND.
  • yoDEV SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.
  • yoDEV’S TOTAL LIABILITY FOR ALL CLAIMS SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNTS YOU PAID TO yoDEV IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) $100 USD.
  • yoDEV IS NOT LIABLE FOR ANY LOSSES ARISING FROM: (I) DISPUTES BETWEEN MARKETPLACE USERS, (II) WORK PRODUCT QUALITY OR DELIVERY, (III) PAYMENT DISPUTES BETWEEN DEVELOPERS AND EMPLOYERS, OR (IV) THIRD-PARTY SERVICE OUTAGES.

13. Indemnification

You agree to indemnify, defend, and hold harmless yoDEV, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney fees) arising from: (a) your use of the Platform, (b) your violation of these Terms, (c) your content, or (d) your violation of any third-party rights.

14. Governing Law and Dispute Resolution

14.1 Governing Law

These Terms and any dispute or claim arising out of or in connection with them or their subject matter (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of the State of Delaware, United States of America, without regard to its conflict of laws principles.

14.2 Dispute Resolution

Any dispute, controversy, or claim arising out of or in connection with these Terms — including any question regarding their existence, validity, interpretation, performance, breach, or termination — shall be referred to and finally resolved by arbitration under the Rules of Arbitration of the International Chamber of Commerce (ICC).

  • The number of arbitrators shall be one.
  • The seat (legal place) of arbitration shall be Wilmington, Delaware, United States of America.
  • The language of the arbitration shall be English.

The arbitral award shall be final and binding on both parties. Judgment on the award may be entered in any court of competent jurisdiction.

Notwithstanding the foregoing, either party may seek interim or injunctive relief in any court of competent jurisdiction to protect intellectual property rights or to prevent unauthorized access to the Platform pending the outcome of arbitration.

14.3 Class Action Waiver

You agree that any disputes will be resolved on an individual basis. You waive any right to participate in a class action, class arbitration, or representative proceeding.

15. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by email or through the Platform. Your continued use of the Platform after changes take effect constitutes acceptance of the updated Terms.

16. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

17. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and yoDEV regarding your use of the Platform.
